Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services offered by Moydus LLC doing business as LockNear ("LockNear," "we," "us," or "our"), including locknear.com and related customer and provider experiences (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Marketplace role

LockNear is a technology marketplace that helps customers find and connect with independent locksmith professionals ("Providers"). LockNear does not perform locksmith services, does not employ Providers, and does not control how Providers perform their work.

When you request service through LockNear, you are entering into a service relationship with the Provider who accepts your job. LockNear facilitates discovery, dispatch, communication, verification, payment authorization, documentation, and support tools related to that relationship.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that the information you provide is accurate and that you have authority to request service at the location and for the property or vehicle involved.

4. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly at info@locknear.com if you believe your account has been compromised.

5. Requesting service

When you submit a service request, you agree to:

LockNear may notify multiple Providers in your area. The first eligible Provider to accept your request is typically assigned. Availability, response times, and ETAs are estimates and are not guarantees.

6. Pricing, quotes, and payment

Prices shown before a Provider accepts your request are estimates or typical ranges, not final invoices. After a Provider accepts, you may receive a formal quote or work order through the Services that lists dispatch fees, line items, taxes where applicable, and the total approved amount.

Payment is processed through Stripe. Depending on the job stage, LockNear may place a temporary authorization on your payment method. You are not charged the final service total until you approve the applicable quote and the work is completed according to the flow presented in the Services, which may include a digital signature on the work order.

You authorize LockNear and our payment processors to charge your payment method for approved amounts, applicable dispatch fees, and any amounts resolved through the dispute process where permitted by these Terms and applicable law.

7. Identity and authorization verification

Because locksmith services involve access to secured property and vehicles, your assigned Provider is responsible for confirming — in person, at the job site — that you are the customer and are authorized to request access to the property or vehicle involved. LockNear does not run an automated identity verification process and does not collect or process government ID images, selfies, or other biometric verification data.

A Provider may decline or stop service if they cannot reasonably confirm your identity or authorization on site — for example, if you cannot show proof of ownership, tenancy, employment access, or vehicle registration when reasonably requested. This may result in cancellation, refusal of service, or a dispatch fee charge as described in these Terms.

8. Provider relationship

Providers listed on LockNear are independent businesses. They are responsible for their own licensing, insurance, taxes, tools, workmanship, and compliance with local laws. LockNear may verify certain credentials before allowing a Provider to participate, but verification is not a warranty of future performance.

Any dispute about workmanship, damage, delays, or on-site conduct is primarily between you and the Provider. LockNear may offer tools to help document, mediate, or process payment disputes, but LockNear is not a party to the underlying service contract except as expressly stated in these Terms.

9. Cancellations, no-shows, and refunds

You may cancel a request before a Provider is en route or before work begins, subject to any dispatch or cancellation terms shown at checkout or on your work order. If a Provider does not arrive within a reasonable time, you may report a no-show through the Services.

Refunds and release of payment authorizations depend on job status, whether work was performed, approved quote terms, and the outcome of any dispute review. LockNear may withhold or release funds in accordance with the work order, payment processor rules, and these Terms.

10. Disputes

If you believe there is a problem with a job — including service not performed, pricing issues, damage, or dispatch fees — you may open a dispute through the Services within the time window presented in the product. You agree to provide a truthful description and cooperate with reasonable requests for photos, messages, or other evidence.

LockNear may review disputes and facilitate communication between you and the Provider. Our decisions about payment release, credits, or account actions are made in our reasonable discretion, subject to applicable law and payment network rules.

11. Reviews

After eligible jobs, you may be invited to leave a review. Reviews must be honest, relevant, and based on your experience. We may remove reviews that violate these Terms, contain unlawful content, or appear fraudulent.

We may suspend or terminate access if we reasonably believe you have violated these Terms or created risk for the marketplace.

13. Communications

By providing your phone number or email, you consent to receive transactional communications about your requests, including SMS messages where enabled. Message and data rates may apply. Marketing messages, if any, will include opt-out instructions where required.

14. Intellectual property

The Services, including software, branding, logos, text, and design, are owned by LockNear or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works except as permitted by law.

15. Third-party services

The Services integrate third-party tools such as payment processors, maps, analytics, and communications vendors. Your use of those features may also be subject to the third party's terms and privacy practices. LockNear is not responsible for third-party services outside our reasonable control.

16. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCKNEAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LOCKNEAR DOES NOT WARRANT THAT A PROVIDER WILL BE AVAILABLE, ARRIVE BY A SPECIFIC TIME, OR COMPLETE WORK WITHOUT ISSUE. LOCKNEAR DOES NOT WARRANT THE QUALITY, SAFETY, OR LEGALITY OF SERVICES PERFORMED BY PROVIDERS.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCKNEAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR ANY SERVICE PERFORMED BY A PROVIDER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCKNEAR'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LOCKNEAR FOR THE SPECIFIC JOB GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

18. Indemnification

You agree to defend, indemnify, and hold harmless LockNear from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your service request, your relationship with a Provider, your violation of these Terms, or your violation of any law or third-party right.

19. Governing law and venue

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles, except where federal law applies. You agree that the state or federal courts located in Bernalillo County, New Mexico will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless applicable law requires otherwise.

20. Changes

We may modify these Terms from time to time. The "Last updated" date above indicates the latest version. Material changes will be posted on this page. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
